
We believe an effective Board of Directors is an important contributor to the success of growth capital investments, in which we are a minority investor. We work closely with our investees to elevate the functioning of the Board of Directors.
This starts with the optimal composition of Board members – the right balance of founders, investors and non-executive independent board members. We’ve found that non-executive independent board members can add tremendous value to our investees, especially when these people have extensive and relevant experience in the same sector as our investee company.
The most effective boards put the most critical strategic and operational challenges on the table for discussion. The Board meeting is mainly an interactive conversation with active participation by all members, and new insights are generated as a result of the engaging conversation. Contrast this with a Board that is primarily PowerPoint presentations which the Board members passively listen without contributing – these Boards are unlikely to add any value.
We also work closely with our investees to clearly define the role of the Board as separate from Management, and ensure that all Board members are well aware of the duties of the Board, while not interfering in day-to-day management.
